These Terms and Conditions ("Terms") govern your access to and use of https://cnerd.ai (the "Site") and your participation in the CNERD SMS marketing program operated by Landworks Services LLC ("CNERD," "we," "us," or "our"). By using the Site or opting in to the SMS program, you agree to the applicable portions of these Terms. If you do not agree, do not use the Site or enroll in the program.
1. Services Overview
CNERD provides software development, AI consulting and implementation, automation, private AI, training, cybersecurity, and related technology services. The Site provides information about our company and work and offers ways to contact or schedule with us.
2. Use of the Site
You agree to use the Site only for lawful purposes. You may not attempt to gain unauthorized access, interfere with Site operation, introduce malicious code, misuse forms or communications, impersonate another person, or use automated tools in a way that harms the Site or its users.
3. Professional Services
Professional services are governed by a separate written agreement, proposal, or statement of work. These Terms do not create a client relationship or define project scope, deliverables, fees, timelines, warranties, or intellectual-property ownership for an engagement.
4. Intellectual Property
Site content, design elements, text, graphics, logos, screenshots, and code are owned by Landworks Services LLC or their respective licensors and are protected by applicable intellectual-property laws. You may not reproduce, distribute, modify, or create derivative works from Site content without permission, except as allowed by law.
5. Information You Submit
When you submit information, you represent that it is accurate and that you have the right to provide it. You authorize CNERD to use the information to respond, evaluate a potential engagement, provide requested communications, and operate the services you selected. Personal information is handled according to our Privacy Policy.
6. CNERD SMS Marketing Program
The CNERD SMS program may send recurring promotional and informational text messages about CNERD services, consultations, resources, events, product or company updates, and related offers. Messages are sent only after an affirmative opt-in through a CNERD or Mailchimp-hosted enrollment experience or another method that clearly identifies the program.
By opting in, you confirm that you are the authorized user of the mobile number provided, are at least 18 years old, and authorize CNERD to send recurring automated marketing text messages to that number. Consent is not a condition of purchasing any goods or services.
Message frequency varies based on the program and your interactions. Message and data rates may apply. Contact your wireless provider for details about your plan.
7. SMS Opt-Out and Help
You can cancel SMS messages at any time by replying STOP to the number that sent the message. After you send STOP, you may receive one final confirmation message, and no further marketing texts will be sent unless you opt in again. Requests sent using other words or through another channel may take longer to identify and process. Using STOP is the most reliable way to unsubscribe immediately.
8. SMS Delivery and Availability
Wireless carriers are not liable for delayed or undelivered messages. Delivery is subject to carrier availability, network conditions, device compatibility, and other circumstances outside CNERD's control. We may change, suspend, or end the SMS program at any time. The program is intended for United States mobile numbers unless the enrollment disclosure states otherwise.
9. SMS Privacy
Your privacy matters. Our Privacy Policy explains how we collect, use, disclose, and retain information, including mobile numbers and SMS consent records. We do not sell or share SMS opt-in information with third parties for their own marketing.
10. Third-Party Services and Links
The Site may link to or use third-party services such as Calendly and Mailchimp. Those services are governed by their own terms and privacy policies. We do not control third-party availability, content, or practices.
11. Disclaimer of Warranties
The Site and its content are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, CNERD disclaims implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not promise that the Site or messaging program will always be available, uninterrupted, secure, or error-free.
12. Limitation of Liability
To the maximum extent permitted by law, Landworks Services LLC and its officers, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the Site or SMS program. Our total liability for a Site or SMS claim will not exceed the amount you paid CNERD, if any, during the 12 months before the claim. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.
13. Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any dispute will be handled in a court of competent jurisdiction in Cattaraugus County, New York, unless applicable law requires otherwise.
14. Changes to These Terms
We may update these Terms, including the SMS program terms, from time to time. Updated Terms will be posted here with a revised effective date. Changes apply prospectively as required by law. If a material change requires new consent, we will request it.
15. Severability
If any provision is found unenforceable, the remaining provisions will remain in effect.
